[Breaking] SK hynix halts pre-IPO and IPO review for Solidigm

Chips1 min read

SK Hynix has stopped its plan to list its grandchild company Solidigm on the stock market, including a pre-IPO and a review of a full IPO. The company says this is because of current market conditions, not because Solidigm's growth has changed.

What happened

SK Hynix said on the 23rd that it is halting the pre-IPO (a early share sale before a full public listing) and the review of an IPO for Solidigm, its grandchild company. SK Hynix said Solidigm's growth and need for investment have not changed. But it said it needs to check whether an IPO right now is the best choice for SK Hynix and its current shareholders, given the capital market and recent share price trends.

Key facts

  • SK Hynix created Solidigm in 2021 when it bought Intel's NAND flash and SSD (solid-state drive) business.
  • SK Hynix owns 100% of Solidigm through a U.S. intermediate holding company called AI Company.
  • On the 19th, the head of the Financial Supervisory Service said Solidigm falls under the rules against duplicate listings.
  • On the 22nd, the head of the Financial Services Commission said Solidigm is subject to the duplicate listing guidelines.

Why regulators got involved

Solidigm wanted to list its shares in the United States. Regulators in Korea say this would be a duplicate listing, which is when a subsidiary lists on a stock market while its parent company is already listed. Critics worry that this can dilute, or reduce the value of, shares held by the parent company's shareholders. The issue came up during a parliamentary audit in the National Assembly.

Why it matters

This decision shows how strict rules on duplicate listings can change big company plans. It also shows that protecting parent company shareholders is a key concern for Korean regulators. Investors and other large companies will watch how these rules are applied.

What to watch

  • Whether SK Hynix restarts the Solidigm IPO plan later.
  • How Korean regulators apply the duplicate listing guidelines to other companies.
  • Changes in SK Hynix's share price and investor reaction.
